Introduction

This document contains the End User License Agreement (EULA) and various Legal Notices for each of the releases of CAES and Terrain.

The EULA outlines the terms and conditions for the software that is supplied with the CAES and Terrain operating system between Caterpillar Trimble Control Technologies LLC (CTCT) and the end user.

END-USER LICENSE AGREEMENT 
IMPORTANT, READ CAREFULLY. THIS END USER LICENSE AGREEMENT ("AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU AND CATERPILLAR TRIMBLE CONTROL TECHNOLOGIES LLC ("CTCT") and applies to the onboard computer software provided by CTCT with the Cat Terrain for Grading and/or Loading system (the "Product") purchased by you (whether built into hardware circuitry as firmware, embedded in flash memory or a PCMCIA card, or stored on magnetic or other media), and includes any accompanying printed materials and any "online" or electronic documentation ("Software"). The Software also includes any CTCT software (including, without limitation, upgrades and updates) relating to the Product that is furnished by Caterpillar Inc. (including its subsidiaries, "Caterpillar") or its dealers (including, without limitation, CTCT software downloaded from Caterpillar's or its dealers' website(s)) unless accompanied by different license terms and conditions that will govern its use. 
BY CLICKING ''YES" OR "I ACCEPT" IN THE ACCEPTANCE BOX, OR BY INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. 1 SOFTWARE PRODUCT LICENSE 
1.1 License Grant. Subject to this Agreement, CTCT grants you a limited, non-exclusive, non-sublicensable right to use one (1) copy of the Software in a machine-readable form on the Product. Such use is limited to use with the Product for which it was intended and into which it was embedded. You may use the installation Software from a computer solely to download the Software to one Product. In no event shall the installation Software be used to download the Software onto more than one Product without securing a separate license. A license for the Software may not be shared or used concurrently on different computers or Products. 
1.2 Other Rights and Limitations 
(1) You may not copy, modify, make derivative works of, rent, lease, sell, distribute or transfer the Software, in whole or in part, except as otherwise expressly authorized under this Agreement, and you agree to use all commercially reasonable efforts to prevent its unauthorized use and disclosure. 
(2) The Software contains valuable trade secrets proprietary to CTCT and its licensors. You shall not, nor allow any third party to copy, decompile, disassemble or otherwise reverse engineer the Software, or attempt to do so, provided, however, that to the extent any applicable mandatory laws (such as, for example, national laws implementing EC Directive 91/250 on the Legal Protection of Computer Programs) give you the right to perform any of the aforementioned activities without CTCT's consent in order to gain certain information about the Software for purposes specified in the respective statutes (i.e., interoperability), you hereby agree that, before exercising any such rights, you shall first request such information from CTCT in writing detailing the purpose for which you need the information. Only if and after CTCT, at its sole discretion, partly or completely denies your request, may you exercise such statutory rights. 
(3) This Software is licensed as a single product. You may not separate its component parts for use on more than one Product. 
(4) You may not rent, lease, or lend, the Software separate from the Product for which it was intended. 
(5) No service bureau work, multiple-user license or time-sharing arrangement is permitted. For purposes of this Agreement "service bureau work" shall be deemed to include, without limitation, use of the Software to process or to generate output data for the benefit of, or for purposes of rendering services to any third party over the Internet or other communications network. 
(6) You may permanently transfer all of your rights under this Agreement only as part of a permanent sale or transfer of the Product for which it was intended, provided you retain no copies, you transfer all of the Software (including all component parts, the media and printed materials, any upgrades, and this Agreement) and the recipient agrees to the terms of this Agreement. If the Software portion is an upgrade, any transfer must include all prior versions of the Software. 
(7) You acknowledge that the Software and underlying technology may be subject to the export administration regulations of the United States Government relating to the export of technical data and products. This Agreement is subject to, and you agree to comply with, any laws, regulations, orders or other restrictions on the export of the Software from the United States which may be imposed by the United States Government or agencies thereof. 
(8) At the request of CTCT, you agree to cooperate with CTCT to track the number of Products using Software at your site(s) to ensure compliance with the license grant and installation restrictions in this Agreement. 
(9) The software package includes Windows XP Embedded ("Windows XP"). Notwithstanding anything to the contrary in this Agreement, Windows XP is not licensed under the terms of this Agreement, but instead is subject to the terms of Microsoft Software License Terms for Windows XP Embedded and Windows Embedded Standard Runtime attached to this Agreement as Exhibit A. You must agree to the Microsoft Software License Terms, or you may not use the Software. 
(9) Notwithstanding anything to the contrary in this Agreement, any Open Source Software that may be included as a part of the software package shall not constitute a portion of the Software as defined in this Agreement and is not licensed under the terms of this Agreement, but instead is subject to the terms of the applicable Open Source Software license. Unless otherwise required pursuant to the terms of an Open Source Software license, CTCT grants you no right to receive source code to the Open Source Software; however, in some cases rights and access to source code may be available to you directly from the licensors. If you are entitled to receive the source code from CTCT for any Open Source Software included with the software package, you may obtain the source code at no charge by written request to CTCT at Caterpillar Trimble Control Technologies LLC, 5475 Kellenberger Rd., Dayton, Ohio 45424 USA, Attn: Cat Terrain Product Manager. You must agree to the terms of the applicable Open Source Software license, or you may not use the subject Open Source Software. 
For purposes of this Agreement, "Open Source Software" means those software programs or libraries that are identified in the software documentation, read me and/or about files as being subject to any open source software license, and all modifications, derivative works and executables based on or derived from such software programs or libraries, if such modifications, derivative works and/or executables are also subject to the applicable open source software license by its terms. 
1.3 Termination. You may terminate this Agreement by ceasing all use of the Software. Without prejudice as to any other rights, CTCT may terminate this Agreement without notice if you fail to comply with the terms and conditions of this Agreement. In either event, you must destroy all copies of the Software and all of its component parts, and provide an affidavit to CTCT stating that you have done the same. 
1.4 Copyright. All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, and text incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by CTCT and its licensors. You shall not remove, cover or alter any of CTCTs patent, copyright or trademark notices placed upon, embedded in or displayed by the Software or on its packaging and related materials. 
1.5 U.S. Government Restricted Rights. The Software is provided with "RESTRICTED RIGHTS". Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in this Agreement, and as provided in DFARS 227.7202-1(a) and 227.7202-3(a)(1995), DFARS 252.227-7013(c)(1)(ii) (OCT 1988), FAR 12.212(a) (1995), FAR 52.227-19, or FAR 52.227-14(ALT III), as applicable. 
2 LIMITED WARRANTY 
2.1 Limited Warranty. CTCT warrants that the Software will perform substantially in accordance with the accompanying written materials for a period of one (1) year from the date of receipt. This limited warranty gives you specific legal rights, you may have others, which vary from state/jurisdiction to state/jurisdiction. 
2.3 NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CTCT AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT WITH REGARD TO THE SOFTWARE AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CTCT OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF CTCT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 3 GENERAL. 
3.1 This Agreement shall be governed by the laws of the State of Ohio and applicable United States Federal law without reference to "conflict of laws" principles or provisions. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement. Jurisdiction and venue of any dispute or court action arising from or related to this Agreement or the Software shall lie exclusively in or be transferred to the courts of the Montgomery County, Ohio, and/or the United States District Court for Ohio. You hereby consent and agree not to contest, such jurisdiction, venue and governing law. 
3.2 Notwithstanding Section 3.1, if you acquired the Product in Canada, this Agreement is governed by the laws of the Province of Ontario, Canada. In such case each of the parties to this Agreement irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation that may arise under this Agreement in the courts located in the Judicial District of York, Province of Ontario. 
3.3 Official Language. The official language of this Agreement and of any documents relating thereto is English. For purposes of interpretation, or in the event of a conflict between English and versions of this Agreement or related documents in any other language, the English language version shall be controlling. 
3.4 CTCT reserves all rights not expressly granted by this Agreement.

Microsoft Software License Terms for:
Windows XP Embedded and Windows Embedded Standard Runtime 
These license terms are an agreement between you and Caterpillar Trimble Control Technologies LLC ("CTCT"). Please read them. They apply to the software included on this device. The software also includes any separate media on which you received the software. 
The software on this device includes software licensed from Microsoft Corporation or its affiliate. 
The terms also apply to any Microsoft 
- Updates,
- Supplements,
- Internet-bases services, and
- Support services 
for this software, unless other terms accompany those items. If so, those terms apply. If you obtain updates or supplements directly from Microsoft, then Microsoft, and not CTCT, licenses those to you. 
As described below, using some features also operates as your consent to the transmission of certain standard computer information for Internet-based services. 
By using the software, you accept these terms. If you do not accept them, do not use or copy the software. Instead, contact CTCT to determine its return policy for a refund or credit. 
If you comply with these license terms, you have the rights below. 
1. Use Rights. 
You may use the software on the device with which you acquired the software. 
2. Additional Licensing Requirements and/or Use Rights. 
  a. Specific Use. CTCT designed this device for a specific use. You may only use the software for that use. 
  b. Other Software. You may use other programs with the software as long as the other programs 
    - Directly support the manufacturer's specific use for the device, or 
    - Provide system utilities, resource management, or anti-virus or similar protection. 
  Software that provides consumer or business tasks or processes may not be run on the device. This includes email, word processing, spreadsheet, database, scheduling and personal finance software. The device may use terminal services protocols to access such software running on a server. 
  c. Device Connections. 
    - You may use terminal services protocols to connect the device to another device running business task or processes software such as email, word processing, scheduling or spreadsheets. 
    - You may allow up to ten other devices to access the software to use 
    --- File Services,
--- Print Services,
--- Internet Information Services, and
--- Internet Connection Sharing and Telephony Services. 
  The ten connection limit applies to devices that access the software indirectly through "multiplexing" or other software or hardware that pools connections. You may use unlimited inbound connections at any time via TCP/IP. 
3. Scope of License. The software is licensed, not sold. This agreement only gives you some rights to use the software. CTCT and Microsoft reserve all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that allow you to use it only in certain ways. For more information, see the software documentation or contact CTCT. Except and only to the extent permitted by applicable law despite these limitations, you may not: 
  - Work around any technical limitations in the software; 
  - Reverse engineer, decompile or disassemble the software; 
  - Make more copies of the software than specified in this agreement; 
  - Publish the software for others to copy; 
  - Rent, lease or lend the software; or 
  - Use the software for commercial software hosting services. 
  Except as expressly provided in this agreement, rights to access the software on this device do not give you any right to implement Microsoft patents or other Microsoft intellectual property in software or devices that access this device. 
  You may use remote access technologies in the software such as Remote Desktop to access the software remotely from another device. You are responsible for obtaining any licenses required for use of these protocols to access other software. 
  - Remote Boot Feature. If the CTCT enabled the device Remote Boot feature of the software, you may 
    (i) use the Remote Boot Installation Service (RBIS) tool only to install one copy of the software on your server and to deploy the software on licensed devices as part of the Remote Boot process; and 
    (ii) use the Remote Boot Installation Service only for deployment of the software to devices as part of the Remote Boot process; and 
    (iii) download the software to licensed devices and use it on them.

  - Internet-Based Services. Microsoft provides Internet-based services with the software. Microsoft may change or cancel them at any time

    - Windows Media Digital Rights Management. Content owners use Windows Media digital rights management technology (WMDRM) to protect their intellectual property, including copyrights. This software and third party software use WMDRM to play and copy WMDRM-protected content. If the software fails to protect the content, content owners may ask Microsoft to revoke the software's ability to use WMDRM to play or copy protected content. Revocation does not affect other content. When you download licenses for protected content, you agree that Microsoft may include a revocation list with the licenses. Content owners may require you to upgrade WMDRM to access their content. Microsoft software that includes WMDRM will ask for your consent prior to the upgrade. 7. GENERAL

If any provision of this Agreement is invalid or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the terms of this Agreement, and without further action by the parties hereto, such provision shall be reformed to the minimum extent necessary to make such provision valid and enforceable.

If Recipient institutes patent litigation against a Contributor with respect to a patent applicable to software (including a cross-claim or counterclaim in a lawsuit), then any patent licenses granted by that Contributor to such Recipient under this Agreement shall terminate as of the date such litigation is filed. In addition, if Recipient institutes patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Program itself (excluding combinations of the Program with other software or hardware) infringes such Recipient's patent(s), then such Recipient's rights granted under Section 2(b) shall terminate as of the date such litigation is filed.

All Recipient's rights under this Agreement shall terminate if it fails to comply with any of the material terms or conditions of this Agreement and does not cure such failure in a reasonable period of time after becoming aware of such noncompliance. If all Recipient's rights under this Agreement terminate, Recipient agrees to cease use and distribution of the Program as soon as reasonably practicable. However, Recipient's obligations under this Agreement and any licenses granted by Recipient relating to the Program shall continue and survive.

Everyone is permitted to copy and distribute copies of this Agreement, but in order to avoid inconsistency the Agreement is copyrighted and may only be modified in the following manner. The Agreement Steward reserves the right to publish new versions (including revisions) of this Agreement from time to time. No one other than the Agreement Steward has the right to modify this Agreement. IBM is the initial Agreement Steward. IBM may assign the responsibility to serve as the Agreement Steward to a suitable separate entity. Each new version of the Agreement will be given a distinguishing version number. The Program (including Contributions) may always be distributed subject to the version of the Agreement under which it was received. In addition, after a new version of the Agreement is published, Contributor may elect to distribute the Program (including its Contributions) under the new version. Except as expressly stated in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to the intellectual property of any Contributor under this Agreement, whether expressly, by implication, estoppel or otherwise. All rights in the Program not expressly granted under this Agreement are reserved.

This Agreement is governed by the laws of the State of New York and the intellectual property laws of the United States of America. No party to this Agreement will bring a legal action under this Agreement more than one year after the cause of action arose. a) it must be made available under this Agreement; and

b) a copy of this Agreement must be included with each copy of the Program.

If Recipient institutes patent litigation against a Contributor with respect to a patent applicable to software (including a cross-claim or counterclaim in a lawsuit), then any patent licenses granted by that Contributor to such Recipient under this Agreement shall terminate as of the date such litigation is filed. In addition, if Recipient institutes patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Program itself (excluding combinations of the Program with other software or hardware) infringes such Recipient's patent(s), then such Recipient's rights granted under Section 2(b) shall terminate as of the date such litigation is filed.

All Recipient's rights under this Agreement shall terminate if it fails to comply with any of the material terms or conditions of this Agreement and does not cure such failure in a reasonable period of time after becoming aware of such noncompliance. If all Recipient's rights under this Agreement terminate, Recipient agrees to cease use and distribution of the Program as soon as reasonably practicable. However, Recipient's obligations under this Agreement and any licenses granted by Recipient relating to the Program shall continue and survive.

The Agreement Steward reserves the right to publish new versions (including revisions) of this Agreement from time to time. (b) under Patents Claims infringed by the making, using or selling of Original Code, to make, have made, use, practice, sell, and offer for sale, and/or otherwise dispose of the Original Code (or portions thereof).

(c) the licenses granted in this Section 2.1(a) and (b) are effective on the date Initial Developer first distributes Original Code under the terms of this License.

(d) Notwithstanding Section 2.1(b) above, no patent license is granted: 1) for code that You delete from the Original Code; 2) separate from the Original Code; or 3) for infringements caused by: i) the modification of the Original Code or ii) the combination of the Original Code with other software or devices.

2.2. Contributor Grant.

Subject to third party intellectual property claims, each Contributor hereby grants You a world-wide, royalty-free, non-exclusive license

(a) under intellectual property rights (other than patent or (trademark) Licensable by Contributor, to use, reproduce, modify, display, perform, sublicense and distribute the Modifications created by such Contributor (or portions thereof) either on an unmodified basis, with other Modifications, as Covered Code and/or as part of a Larger Work; and

3. Distribution Obligations.

3.1. Application of License.

The Modifications which You create or to which You contribute are governed by the terms of this License, including without limitation Section 2.2. The Source Code version of Covered Code may be distributed only under the terms of this License or a future version of this License released under Section 6.1, and You must include a copy of this License with every copy of the Source Code You distribute. You may not offer or impose any terms on any Source Code version that alters or restricts the applicable version of this License or the recipients' rights hereunder. However, You may include an additional document offering the additional rights described in Section 3.5.

3.2. Availability of Source Code.

(a) Third Party Claims. If Contributor has knowledge that a license under a third party's intellectual property rights is required to exercise the rights granted by such Contributor under Sections 2.1 or 2.2, Contributor must include a text file with the Source Code distribution titled "LEGAL" which describes the claim and the party making the claim in sufficient detail that a recipient will know whom to contact. 8. TERMINATION.

If within 60 days of notice, a reasonable royalty and payment arrangement are not mutually agreed upon in writing by the parties or the litigation claim is not withdrawn, the rights granted by Participant to You under Sections 2.1 and/or 2.2 automatically terminate at the expiration of the 60 day notice period specified above.

If You assert a patent infringement claim against Participant alleging that such Participant's Contributor Version directly or indirectly infringes any patent where such claim is resolved (such as by license or settlement) prior to the initiation of patent infringement litigation, then the reasonable value of the licenses granted by such Participant under Sections 2.1 or 2.2 shall be taken into account in determining the amount or value of any payment or license.

8.4. In the event of termination under Sections 8.1 or 8.2 above, all end user license agreements (excluding distributors and resellers) which have been validly granted by You or any distributor hereunder prior to termination shall survive termination.

10. U.S. GOVERNMENT END USERS.

1 SOFTWARE PRODUCT LICENSE

1.1 License Grant. This Agreement grants you a limited, non-exclusive, non-sublicensable right to use one (1) copy of the Software in a machine-readable form on any computer system. Such use is limited to use with CTCT products on any computer hardware and operating system for which it was intended. You may move the Software from one computer to another but may only use the Software on one computer at any time. If you are a business rather than an individual, you may authorize the personnel associated with your business to use the Software, but only one person at one time, on one computer at one time. You may also store or install a copy of the Software on a storage device, such as a network server, used only to install or run the Software on your other computers over an internal network; but in such case you must acquire and dedicate a license for each separate computer on which the Software is installed or run from the storage device. A license for the Software may not be shared or used concurrently on different computers.

1.2 Other Rights and Limitations.

(1) The Software contains valuable trade secrets proprietary to CTCT and its suppliers. To the extent permitted by relevant law, you shall not, nor allow any third party to copy, decompile, disassemble or otherwise reverse engineer the Software, or attempt to do so, provided, however, that to the extent any applicable mandatory laws (such as, for example, national laws implementing EC Directive 91/250 on the Legal Protection of Computer Programs) give you the right to perform any of the aforementioned activities without CTCT's consent in order to gain certain information about the Software for purposes specified in the respective statutes (i.e., interoperability), you hereby agree that, before exercising any such rights, you shall first request such information from CTCT in writing detailing the purpose for which you need the information.Only if and after CTCT, at its sole discretion, partly or completely denies your request, may you exercise such statutory rights.

(2) This Software is licensed as a single product. You may not separate its component parts for use on more than one computer.

(3) You may not rent, lease, or lend, the Software unless you are a reseller of CTCT products under separate written agreement with CTCT and authorized by CTCT to do so.

(4) No service bureau work, multiple-user license or time-sharing arrangement is permitted. For purposes of this Agreement "service bureau work" shall be deemed to include, without limitation, use of the Software to process or to generate output data for the benefit of, or for purposes of rendering services to any third party over the Internet or other communications network.

(5) You may permanently transfer all of your rights under this Agreement, provided you retain no copies, you transfer all of the Software (including all component parts, the media and printed materials, any upgrades, and this Agreement) and the recipient agrees to the terms of this Agreement. (6) You may not export the Software or underlying technology in contravention of applicable U.S. and foreign export laws.

(7) Without prejudice as to any other rights, CTCT may terminate this Agreement without notice if you fail to comply with the terms and conditions of this Agreement. 1.3 Copyright. All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, and text incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by CTCT and its suppliers.You shall not remove, cover or alter any of CTCT's patent, copyright or trademark notices placed upon, embedded in or displayed by the Software or on its packaging and related materials. You may, however, either

(1) make one copy of the Software solely for backup or archival purposes, or

(2) install the Software on a single computer provided you keep the original solely for backup or archival purposes. You may not copy the accompanying printed materials.

1.4 U.S. Government Restricted Rights. The MS Windows CE is not fault tolerant. CTCT has independently determined how to use MS Windows CE in the CTCT hardware product purchased by you, and Microsoft has relied upon CTCT to conduct sufficient testing to determine that MS Windows CE is suitable for such use. Note on Java Support. The Software may contain support for programs written in Java. Java technology is not fault tolerant and is not designed, manufactured, or intended for use or resale as online control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems in which the failure of Java technology could lead directly to death, personal injury, or severe physical or environmental damage. Sun Microsystems, Inc. has contractually obligated Microsoft to make this disclaimer.

2 LIMITED WARRANTY.

2.1 Limited Warranty. CTCT warrants that the Software will perform substantially in accordance with the accompanying written materials for a period of one (1) year from the date of receipt. This limited warranty gives you specific legal rights, you may have others, which vary from state/jurisdiction to state/jurisdiction.

2.2 Customer Remedies. CTCT's and its suppliers' entire liability, and your sole remedy, with respect to the Software shall be either, at CTCT's option, (a) repair or replacement of the Software, or (b) return of the license fee paid for any Software that does not meet CTCT's limited warranty. This limited warranty is void if failure of the Software has resulted from accident, abuse, or misapplication. Any replacement Software will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

2.3 NO OTHER WARRANTIES. BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

3 GENERAL.

3.1 This Agreement shall be governed by the laws of the State of Ohio and applicable United States Federal law without reference to "conflict of laws" principles or provisions. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement. Jurisdiction and venue of any dispute or court action arising from or related to this Agreement or the Software shall lie exclusively in or be transferred to the courts the Montgomery County, Ohio, and/or the United States District Court for Ohio. You hereby consent and agree not to contest, such jurisdiction, venue and governing law.

3.2 Section 3.1 notwithstanding, if you acquired this product in Canada, this Agreement is governed by the laws of the Province of Ontario, Canada. In such case each of the parties to this Agreement irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation that may arise under this Agreement in the courts located in the Judicial District of York, Province of Ontario.

3.3 CTCT reserves all rights not expressly granted by this Agreement.
